Sales conditions
PRICES
Prices are considered for goods delivered ex warehouse.
STANDARD PACKAGING
Orders are always filled independently from the quantity ordered, in standard or multiple packaging. If the customer desires a particular packaging, this will be provided, but without quantity discounts (special materials excluded).
PAYMENTS
Payments must be made to our domicile by the deadline specified in the invoice. The acceptance of bills and the issuing of drafts do not constitute exceptions to the place of payment. The buyer may not for any reason delay the payment of the amount owed and is not entitled to make objections until after payment.
SELLER'S LIEN CLAUSE
All our materials are sold under a lien agreement. Therefore, until full payment of the invoices, we are the owners of the materials, pursuant to Art. 1523 of the Italian Civil Code.
ARREARS INTEREST
In case of late payment, past the deadline as indicated in the invoice, yearly interest will be charged as specified overleaf; see the rate indicated after the words "Yearly arrears interest" from the invoice deadline date up to the date of the actual payment of the balance.
DELIVERIES
Non-delivery due to force majeure or possible delays past the date envisaged by our offer or confirmation do not entitle our customers to the right to claim damages.
SHIPMENT
Goods always travel on behalf and at the risk of the customer, if sent ex destination. Any insurance is at the customer's expense and must be explicitly requested in the order. Lacking specific indications, the shipments will be made with the means deemed most suitable by us, but without liability.
PACKAGING AND PACKING
These are billed on the basis of their actual cost.
COMPLAINTS AND RETURNED GOODS
We do not accept complaints after ten days from receipt of the goods.
For no reason will we accept the return of regularly ordered goods without our written authorization.
WARRANTIES
We will replace all pieces acknowledged by us as being defective for reasons dependent on materials or workmanship, provided they have not been modified and no more than one month has passed since the invoice date. Our liability is in any case strictly limited to replacement, declining all liability for any consequences or damages caused by the supplied goods, including labor for assembling and disassembling operations and for any purchase of complementary parts.
PATENTS
The technical solutions of products related to torque limiters and rotation and axial transmission couplings are covered by Italian and foreign patent requests.
DISPUTES
For all disputes, the Court of Bologna has sole jurisdiction.
N.B. - The above-mentioned conditions shall be considered fully and unconditionally accepted with the issuing of written or verbal orders, without prejudice to specific written exceptions.
